These Terms and Conditions ("Terms") govern your access to and use of our website at www.hivetransactions.com, as well as any products, services, digital downloads, courses, or marketing services offered through our website (collectively, the "Services"). By accessing our website or purchasing any product or service, you agree to be bound by these Terms.

Please read these Terms carefully before using our website or making a purchase. If you do not agree to these Terms, please do not use our website or purchase our products or services. Hive Transactions™ is operated by Hive Transactions LLC, a Florida limited liability company.

1. Acceptance of Terms

By accessing or using this website, submitting any form, or completing any purchase, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations. These Terms apply to all visitors, clients, and users of our website, regardless of whether you are a licensed real estate agent, a team or brokerage, or a member of the general public purchasing digital products or courses.

2. Transaction Coordination Services

Hive Transactions™ provides administrative transaction coordination services to licensed real estate agents, teams, and brokerages operating in Colorado and Florida. Licensed real estate agents and brokerages who engage Hive Transactions™ for transaction coordination services are also subject to the Hive Transactions LLC Transaction Coordination Service Agreement ("Service Agreement"), which is provided separately and must be executed prior to the commencement of any transaction coordination services. In the event of any conflict between these Terms and the Service Agreement, the Service Agreement shall govern with respect to transaction coordination services. Hive Transactions™ is an unlicensed administrative services company. Hive holds no real estate license in any state and does not perform licensed real estate services, provide legal or financial advice, or represent any party to a real estate transaction.

3. Website Use

Permitted Use

You may use this website for lawful purposes only. You agree not to: Use the website in any way that violates applicable laws or regulations Attempt to gain unauthorized access to any part of the website or its systems Transmit any unsolicited or unauthorized advertising or promotional material Interfere with or disrupt the operation of the website or servers Copy, reproduce, or distribute any content from this website without written permission

4. Products and Purchases

Digital Downloads and Templates

Hive Transactions™ offers digital downloads and templates for real estate professionals. All digital products are delivered electronically upon purchase. By purchasing a digital product, you agree that:

All sales are final and non-refundable once the product has been delivered

You may not resell, redistribute, or share the product with others outside your individual use

The product is provided for your personal or internal business use only

Hive Transactions™ retains all intellectual property rights in the product

Online Courses

Hive Transactions™ offers online courses for real estate professionals. Course content is delivered digitally and becomes accessible upon purchase. By enrolling in a course, you agree that: All course purchases are final and non-refundable once course content has been accessed Course content is for your personal use only and may not be shared, reproduced, or redistributed Hive Transactions™ retains all intellectual property rights in all course content, materials, and recordings

Access to course content may be time-limited and is subject to the terms communicated at the time of purchase

Marketing Services

Hive Transactions™ offers marketing services for real estate professionals and businesses. Engagement for marketing services is subject to a separate project agreement or scope of work provided at the time of engagement. These Terms apply to all marketing service transactions in addition to any project-specific agreement.

Pricing

All prices are listed in U.S. dollars. Hive Transactions™ reserves the right to modify pricing at any time. Price changes will not affect purchases already completed. For transaction coordination service fees, please refer to the Transaction Coordination Service Agreement.

5. Refund Policy

Transaction Coordination Services

All transaction coordination service fees are non-refundable once work has begun on a file. This includes but is not limited to reviewing contracts, initiating timelines, sending communications, and any other coordination activity performed on behalf of the Agent. If a transaction falls through before work has begun, please contact us promptly to discuss your situation. Any exceptions are made at the sole discretion of Hive Transactions™. Additional fees including rush fees, cancellation fees, termination fees, and reactivation fees are non-refundable.

Digital Downloads and Templates

All sales of digital downloads and templates are final. Because digital products are delivered instantly and cannot be returned, we do not offer refunds on any digital download purchases. If you experience a technical issue accessing your purchase, please contact us and we will work to resolve it promptly.

Online Courses

All course purchases are final and non-refundable once course content has been accessed. In the event of a documented technical failure on our end that prevents access to course content, please contact us and we will work to provide an appropriate remedy at our discretion.

Marketing Services

Refunds for marketing services are handled on a case-by-case basis depending on the scope of work completed at the time of the request. Any approved refund will be prorated based on work completed and expenses incurred. Please contact us directly before initiating any payment dispute.

Chargebacks and Disputes

We ask that you contact us directly before initiating a chargeback or payment dispute with your bank or card issuer. Initiating a chargeback without first contacting Hive Transactions™ may result in suspension of your account and access to any purchased products or services. We reserve the right to dispute chargebacks we believe are filed in error or bad faith.

6. Payment

Payments for website purchases may be processed through Go High Level (GHL) or a third-party payment processor, depending on the product or service. We do not store your full payment card details on our servers. By completing a purchase, you authorize us to charge the payment method provided for the full amount of the purchase.

For transaction coordination services, payment terms are governed by the Transaction Coordination Service Agreement. Buyer and seller contract-to-close fees are due at closing. Pre-Listing and MLS Launch fees are due when service begins. Compliance-Only File Management fees are due once all documents have been uploaded and the file has been approved. All other additional service fees are due upon completion of the service. Accounts more than 30 days past due may result in suspension of services across all active files.

7. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, course materials, templates, and digital downloads, is the property of Hive Transactions LLC and is protected by applicable copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, publish, display, modify, or create derivative works from any content on this website without the prior written consent of Hive Transactions LLC. Purchasing a digital product or course grants you a limited, non-exclusive, non-transferable license to use the content for your personal or internal business purposes only.

8. Communications and Marketing

By submitting any form on our website or making a purchase, you agree to receive transactional and marketing communications from Hive Transactions™, including emails and SMS text messages. Consent to receive marketing communications is not a condition of purchase or service.

You may opt out of marketing emails at any time by clicking the unsubscribe link in any email. You may opt out of SMS messages at any time by replying STOP. Opting out of marketing communications does not affect transactional messages related to your active file or order.

Message and data rates may apply to SMS communications. Message frequency will vary.

9. Third-Party Links and Services

Our website may contain links to third-party websites, tools, or resources. These links are provided for convenience only. Hive Transactions™ is not responsible for the content, privacy practices, or security of any third-party website. Visiting a third-party site through a link on our website is at your own risk.

We use third-party platforms to operate our website and deliver our services, including IVOREY (ivorey.io), Go High Level (GHL), Zapier, Google Analytics, Facebook Pixel, A-Frame Software, and others as described in our Privacy Policy. Your use of our website constitutes acceptance of data being processed through these platforms as described in our Privacy Policy.

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. 11. Limitation of Liability

To the fullest extent permitted by applicable law, Hive Transactions LLC and its members, managers, employees, and contractors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of this website or any products or services purchased through it, including but not limited to lost profits, lost commissions, or loss of business opportunity.

In no event shall Hive Transactions LLC's total liability to you for any claim arising from these Terms or your use of the website exceed the greater of (a) the amount you paid for the product or service giving rise to the claim, or (b) $100.00.

For transaction coordination services, liability is further governed and limited by the Transaction Coordination Service Agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hive Transactions LLC and its members, managers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of this website, your violation of these Terms, your violation of any applicable law or regulation, or any content you submit through our website or forms.

13. Privacy

Your use of this website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. 14. Termination and Right to Refuse Service

Hive Transactions™ reserves the right to refuse service, terminate access, or cancel any order or engagement at our sole discretion, including but not limited to situations involving non-payment, violation of these Terms, incomplete or inaccurate intake information, or any conduct we determine to be harmful to our business or team.

Termination of services does not relieve you of any payment obligations for services already performed or products already delivered.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida for all matters relating to transaction coordination services. For purchases of digital products, courses, and marketing services made by users outside of Colorado and Florida, these Terms shall be governed by the laws of the State of Florida to the extent permitted by applicable law, without regard to conflict of law principles.

Any dispute arising out of or relating to transaction coordination services shall be resolved through binding arbitration in the Florida county where Hive Transactions LLC is headquartered, as set forth in the Transaction Coordination Service Agreement.

For disputes relating to digital product or course purchases, we encourage you to contact us directly first to resolve the matter informally. If a resolution cannot be reached, disputes shall be subject to the jurisdiction of the courts located in the State of Florida.

16. Changes to These Terms

Hive Transactions™ reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to this page with an updated date. Your continued use of the website after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Hive Transactions™ with respect to your use of this website and any purchases made through it. For transaction coordination clients, the Transaction Coordination Service Agreement governs the TC services relationship and is incorporated alongside these Terms.
